Terms of Service

Please read these Terms carefully before using Rezi. By creating an account or activating a building, you agree to be bound by them.

1. Acceptance and Eligibility
These Terms of Service ("Terms") constitute a binding legal agreement between you ("Customer," "you," or "your") and Rezi LLC ("Rezi," "we," "us," or "our"), governing your access to and use of the Rezi platform at rezihost.com and related services (the "Service").
By creating an account, clicking "I agree," or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
To use the Service, you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into binding contracts in your jurisdiction; and (c) if acting on behalf of a company or other legal entity, have authority to bind that entity to these Terms. If you do not meet these requirements, you may not use the Service.
If you are accepting on behalf of a company, the word "you" throughout these Terms refers to that company, and you represent and warrant that you are duly authorized to bind the company.
In plain language
Rezi is business software for property managers. You own your data; we only use it to run the Service. Because the platform sends automated texts and AI voice calls and helps screen applicants, you are responsible for using it lawfully, especially under the Fair Housing Act (Section 7) and the TCPA (Section 8).
Billing is per listing, per month, with no long-term contract; you can deactivate a building anytime, but fees already charged are non-refundable. The Service is provided "as is," our liability is capped (Section 19), and most disputes are resolved by individual arbitration (Section 23), which you may opt out of within 30 days.
2. Description of the Service
Rezi is a B2B software-as-a-service (SaaS) platform designed for hosts and operators managing short-term rental properties. The Service automates guest communication via AI-powered SMS, voice, and email, and provides tools for guest messaging, emergency escalation, invoice generation, and multi-listing management.
The Service is intended solely for commercial and business use by property managers. It is not a consumer product and is not intended for use by tenants or guests directly, except to the extent they communicate with a Rezi-powered building phone number as part of their tenancy or reservation.
Rezi acts as a platform and technology provider. We are not a property management company, real estate agent, attorney, financial advisor, or licensed professional of any kind. Nothing in the Service constitutes legal, financial, real estate, or professional advice.
3. Account Registration and Security
Registration
To use the Service, you must register for an account by providing accurate, current, and complete information. You agree to keep this information up to date. Providing false or misleading information is a violation of these Terms and may result in immediate account termination.
Multi-Factor Authentication
MFA is mandatory for all accounts and cannot be disabled. This is a security requirement, not an optional feature. You must set up at least one MFA method (biometric, authenticator app, or Duo Mobile) during account creation. You are responsible for maintaining access to your MFA device.
Account Security
You are responsible for: (a) maintaining the confidentiality of your login credentials; (b) all activity that occurs under your account, whether or not authorized by you; (c) all actions taken by staff sub-accounts you create; and (d) promptly notifying Rezi at hello@rezi-ai.com if you suspect unauthorized access to your account.
Rezi is not liable for any loss or damage arising from your failure to maintain the security of your credentials. We will never ask for your password via email or phone.
Staff Sub-Accounts
You may create staff sub-accounts with role-based permissions. You are responsible for all actions taken by staff accounts and for revoking access when staff members leave your organization. Staff roles and permissions are defined within the platform.
4. Subscriptions and Billing
Per-Listing Pricing
The Service is priced on a per-listing, per-month basis, billed per property. Current rates are:
- Airbnb, VRBO, cabins, and other short-term rentals (per listing): $45 per listing per month. No monthly minimum.
Each listing is billed independently. Your invoice reflects the applicable rate for each listing. The rates above are the current published rates and may change as described under "Price Changes" below. Custom pricing for large portfolios is available, contact hello@rezi-ai.com.
Billing Cycle
Each building subscription operates on a 30-day rolling cycle beginning on the activation date. The first charge is collected immediately upon activation and covers the first 30 days. Subsequent charges occur automatically every 30 days from the activation date, not on a calendar-month schedule. Your subscription automatically renews every 30 days until you deactivate the building or cancel your account; you can cancel at any time from your dashboard, and there is no cancellation fee.
Listings added mid-cycle will be reflected in your subscription at the next billing date. Listing reductions follow the same schedule. Subscription amounts are calculated based on the total number of listings at the time of each billing event.
Payment Method
Subscriptions are billed to the payment method on file in your Stripe account. You authorize Rezi to charge your payment method on a recurring basis for all subscription fees. You are responsible for keeping a valid payment method on file.
Failed Payments
If a payment fails, Stripe will automatically retry the charge according to its retry schedule. Rezi will notify you by email of the failed payment and attempt to contact you directly to resolve the issue. If a payment remains outstanding for more than 14 days after the first failure, Rezi reserves the right to suspend access to the affected building(s) until payment is resolved. Rezi will not automatically terminate your account for a single billing failure without prior notice.
Cancellation and Deactivation
You may deactivate any building at any time from your dashboard. Deactivation cancels the associated Stripe subscription immediately. No refunds or credits are issued for any unused portion of the current 30-day billing period, except where prohibited by applicable law.
Following deactivation, all data associated with that building (messages, tenants, invoices, documents) is retained for 30 days to allow for export and review, after which it is permanently deleted.
To cancel your entire Rezi account, contact hello@rezi-ai.com. Account cancellation takes effect at the end of the current billing period for each active building.
Taxes
All fees are exclusive of taxes. You are responsible for paying any applicable sales, use, value-added, or other taxes imposed on your subscription. If Rezi is required by law to collect taxes, those amounts will be added to your invoice.
Price Changes
Rezi reserves the right to modify pricing at any time. We will provide at least 30 days' written notice of any price increase via email to your account address. Your continued use of the Service after the effective date of the price change constitutes acceptance of the new pricing.
5. Your Responsibilities
You are solely responsible for:
- The accuracy and completeness of all property, unit, and tenant data you enter into the platform.
- The content, legality, and appropriateness of all qualification questions, emergency keywords, and AI persona settings you configure.
- All communications sent on your behalf through Rezi-provisioned phone numbers and email addresses.
- Ensuring your tenants and guests have been given adequate notice that their communications may be handled by an AI system and may be recorded.
- Maintaining any required consents from tenants and guests before enrolling them in automated SMS or voice communications.
- Monitoring the platform's automated conversations and human-in-the-loop queue, and intervening promptly when necessary.
- Keeping your account information, including notification contact numbers, current and accurate.
- Ensuring that staff members assigned to your account understand and comply with these Terms.
- Compliance with all federal, state, and local laws applicable to your property management operations, including landlord-tenant law, fair housing law, and consumer protection law.
6. Acceptable Use
Permitted Uses
The Service is licensed for lawful property management operations. You may use it to manage your owned or managed properties, communicate with tenants and guests, and automate legitimate operational workflows.
Prohibited Uses
You may not use the Service to:
- Discriminate against any person on the basis of a protected characteristic, including but not limited to race, color, national origin, religion, sex, familial status, disability, age, sexual orientation, gender identity, or source of income, in violation of the Fair Housing Act, Americans with Disabilities Act, or any other applicable law.
- Send harassing, threatening, abusive, or unsolicited communications to tenants, guests, or any other individual.
- Collect, store, or transmit sensitive personal information beyond what is reasonably necessary for property management, including Social Security numbers, government identification numbers, medical or health information, or financial account credentials.
- Use the Service for any unlawful purpose or in violation of any federal, state, or local law or regulation.
- Impersonate any person, entity, or building that you do not own or have authority to manage.
- Attempt to circumvent, disable, or interfere with security features of the Service, including SMS opt-out mechanisms.
- Reverse engineer, decompile, disassemble, or create derivative works from any part of the Service.
- Resell, sublicense, or provide access to the Service to third parties without Rezi's prior written consent.
- Use the Service to transmit malware, viruses, spam, or any other harmful content.
- Scrape, crawl, or systematically extract data from the Service for any unauthorized purpose.
- Use the Service in any manner that could overburden, damage, or impair the platform or its infrastructure.
Rezi reserves the right to investigate suspected violations of this section and to suspend or terminate accounts engaged in prohibited conduct, with or without prior notice depending on the severity of the violation.
7. Fair Housing Compliance
You are solely responsible for ensuring that all qualification questions, screening criteria, rejection reasons, and communications configured in the Rezi platform comply with the Fair Housing Act (42 U.S.C. § 3601 et seq.), the Americans with Disabilities Act, the Equal Credit Opportunity Act, and all applicable state and local fair housing laws.
Rezi displays FHA warning notices in the qualification question builder and includes reminders that screening criteria based on race, color, national origin, religion, sex, familial status, or disability are prohibited. These warnings are informational only. Rezi does not review, validate, or approve your qualification questions for legal compliance, and the presence of those warnings does not constitute legal advice or a guarantee that your questions comply with applicable law.
Prohibited screening criteria include, but are not limited to: questions designed to exclude families with children, inquiries about national origin or ancestry, questions that disproportionately screen out applicants with disabilities, and income-to-rent ratios applied inconsistently.
You acknowledge that you have independently consulted with legal counsel or otherwise ensured that your screening practices are legally compliant. You agree to indemnify, defend, and hold Rezi harmless from any fair housing claims, regulatory actions, or liability arising from the qualification criteria you configure. See Section 20 (Indemnification).
8. TCPA and SMS Compliance
The Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227, and related FCC regulations govern the use of automated SMS messages and prerecorded voice calls. You, as the Account Holder and sender of record for your building phone numbers, are responsible for compliance with the TCPA and any applicable state autodialer or robocall laws.
Your specific TCPA obligations may include: (a) obtaining any legally required consent before automated SMS or AI/artificial-voice calls are sent on your behalf, including prior express written consent for marketing or promotional messages and prior express consent for automated informational or transactional messages and calls; (b) maintaining records of consent; (c) honoring opt-out requests immediately and permanently; and (d) including required disclosures in initial messages.
Rezi automatically honors STOP replies by suppressing further SMS to opted-out numbers and flagging those numbers in your dashboard. Circumventing or re-enabling SMS to an opted-out number without that person's renewed consent is a TCPA violation and is prohibited under these Terms.
Rezi will assist you with A2P 10DLC registration for your building phone numbers, but you remain the registered entity of record and bear ultimate responsibility for your A2P compliance posture. Rezi is not liable for carrier filtering of messages due to incomplete or delayed A2P registration.
You agree to indemnify Rezi from any TCPA claims, regulatory actions, class actions, or fines arising from your use of the platform's SMS and voice features.
9. AI-Generated Content
Rezi uses artificial intelligence, primarily Anthropic's Claude for response generation and OpenAI for document embeddings, to automate tenant and guest communications on your behalf. You acknowledge and agree to the following:
Accuracy and Reliability
AI-generated responses are based on the documents, instructions, and qualification questions you configure. The quality of AI outputs depends directly on the quality, accuracy, and completeness of the information you provide. Rezi does not guarantee that AI responses will be accurate, appropriate, legally sufficient, or free from errors in every situation.
Your Oversight Responsibility
You are responsible for monitoring conversations handled by the AI, reviewing flagged messages in the human-in-the-loop queue, and intervening when the AI's response is inadequate or inappropriate. You should review your platform's interaction logs regularly. Do not rely solely on AI responses for legally significant communications, emergency situations, or situations involving tenant rights.
No Legal Commitments by AI
AI-generated messages may not be used to create binding legal commitments, waive tenant rights, or substitute for formal legal notices required by applicable landlord-tenant law (such as eviction notices, notice-to-quit letters, or rent increase notices). You should not configure the AI in a way that could be construed as making such commitments on your behalf without your explicit review.
Emergency Situations
The platform is designed to detect emergency keywords and escalate to you automatically. However, Rezi does not guarantee that every emergency will be detected or escalated in time to prevent harm. You should not rely exclusively on Rezi's emergency escalation feature as your sole emergency response mechanism. You remain responsible for having adequate emergency response procedures in place.
AI Transparency
Rezi's AI voice assistant will identify itself as an AI at the start of inbound calls. You may not configure the platform to actively deceive tenants or guests into believing they are speaking with a human when they are not.
10. Tenant and Guest Communications
When you activate a building, Rezi provisions a Telnyx phone number in your name. All SMS messages and voice calls through that number are sent and received on your behalf. You are the sender of record and operator of record for all communications through that number.
The platform is designed to be transparent to tenants and guests, communications go out under your building's identity, not branded as Rezi. You are responsible for how those communications are perceived and for any claims arising from them.
You must not use Rezi-provisioned numbers or email sending to communicate anything that is false, misleading, defamatory, obscene, threatening, or otherwise unlawful. You must not use the platform to impersonate government agencies, law enforcement, or other entities.
Rezi will cooperate with lawful requests from law enforcement or regulatory authorities regarding communications sent through the platform, and may be required to disclose communication records in such circumstances.
11. Data Ownership and License
Your Data
You retain all right, title, and interest in the data, documents, content, and information you upload or generate through the Service ("Customer Data"). Rezi does not claim ownership of your Customer Data.
You grant Rezi a limited, non-exclusive, worldwide, royalty-free license to access, process, store, transmit, and display Customer Data solely to the extent necessary to provide and improve the Service, fulfill our obligations under these Terms, and comply with applicable law. This license terminates upon account closure, subject to our retention schedule.
Aggregate Data
Rezi may use aggregated, anonymized data derived from all customers' use of the Service (with no personally identifiable information and no data attributable to you or your tenants) to analyze platform performance, improve our AI models, and develop new features. This aggregate data does not constitute Customer Data and is not subject to the ownership provisions above.
AI Training Prohibition
Rezi does not use your Customer Data, including message content or uploaded documents, to train large language models or embedding models. Our agreements with Anthropic and OpenAI prohibit model training on content submitted through our API integrations.
12. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service ("Confidential Information"), and to use such information only as necessary to perform its obligations under these Terms.
"Confidential Information" includes, for Rezi: platform architecture, pricing, roadmap, and proprietary technology. For you: Customer Data, tenant and guest information, and business operations.
Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this agreement; (b) was rightfully known before disclosure; (c) is independently developed without use of the other party's confidential information; or (d) is required to be disclosed by law or court order, provided the disclosing party gives prompt written notice where legally permitted.
These confidentiality obligations survive termination of the Service for a period of three years.
13. Intellectual Property
Rezi's Intellectual Property
Rezi and its licensors retain all right, title, and interest in and to the Service, including all software, code, designs, user interfaces, logos, trademarks, trade secrets, and other proprietary materials ("Rezi IP"). These Terms do not grant you any ownership rights in Rezi IP. Your rights to use the Service are limited to the license expressly granted in these Terms.
License to Use the Service
Subject to your compliance with these Terms and timely payment of fees, Rezi grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the subscription term solely for your internal property management operations.
Restrictions
You may not: copy, modify, or create derivative works of the Service; reverse engineer or decompile any part of the Service; use the Service to build a competing product; remove or alter any proprietary notices from the Service; or use Rezi's name, logo, or trademarks without prior written permission.
14. Third-Party Services
The Service integrates with and relies upon third-party services including Clerk, Supabase, Telnyx, Retell AI, Resend, Stripe, Anthropic, OpenAI, PostHog, Google Calendar, Cal.com, Airbnb, VRBO, and Vercel (collectively, "Third-Party Services").
Your use of Third-Party Services is subject to those providers' own terms of service and privacy policies. Rezi is not responsible for the availability, accuracy, reliability, or practices of Third-Party Services. If a Third-Party Service is unavailable or changes its terms in a way that affects Rezi's ability to provide the Service, Rezi will make commercially reasonable efforts to find an alternative, but is not liable for any resulting disruption.
For Airbnb and VRBO integrations using iCal feeds: Rezi does not have a formal partnership with Airbnb or VRBO, and iCal sync is subject to those platforms' data availability. Rezi is not responsible for inaccuracies in third-party calendar data.
15. Service Availability
Rezi does not guarantee that the Service will be available at all times, uninterrupted, or error-free. The Service is provided on an "as-is" and "as-available" basis. We do not offer any Service Level Agreement (SLA) or uptime guarantee unless separately agreed to in writing.
We will make commercially reasonable efforts to provide reliable service and to notify you in advance of planned maintenance windows. However, we are not liable for any downtime, loss of data, or missed tenant communications resulting from service outages, whether planned or unplanned.
Given that Rezi handles time-sensitive tenant communications including emergencies, we strongly recommend that you maintain alternative contact methods with your tenants and your own emergency contacts that do not depend solely on the Rezi platform.
16. Beta Features
Rezi may offer features or functionality designated as "beta," "preview," "early access," or similar ("Beta Features"). Beta Features are provided for evaluation purposes and may not meet the same reliability, performance, or completeness standards as the core Service.
Beta Features are provided "as is" with no warranties of any kind. Rezi may modify, suspend, or discontinue Beta Features at any time without notice. Your use of Beta Features is at your own risk. Rezi is not liable for any loss or damage resulting from your use of Beta Features, including in live production environments.
17. Feedback
If you submit suggestions, feature requests, bug reports, or other feedback about the Service ("Feedback"), you grant Rezi a perpetual, irrevocable, worldwide, royalty-free license to use, copy, modify, incorporate, and exploit that Feedback without restriction and without any obligation to you. You acknowledge that Rezi may already be developing similar features and that your Feedback does not create any obligation to implement, credit, or compensate you.
18. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. Rezi SPECIFICALLY DISCLAIMS ALL WARRANTIES OF:
- MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED CONTENT.
- UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION OF THE SERVICE.
- FITNESS OF THE SERVICE FOR USE IN LEGALLY OR FINANCIALLY SENSITIVE CONTEXTS WITHOUT INDEPENDENT PROFESSIONAL REVIEW.
Rezi IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL, REGULATORY, REAL ESTATE, OR FINANCIAL ADVICE. NOTHING IN THE SERVICE CONSTITUTES LEGAL ADVICE, CREATES AN ATTORNEY-CLIENT RELATIONSHIP, OR GUARANTEES COMPLIANCE WITH ANY LAW OR REGULATION. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT YOUR USE OF THE SERVICE COMPLIES WITH ALL APPLICABLE LAWS.
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in full.
19. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
Rezi'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO Rezi IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100).
IN NO EVENT SHALL Rezi BE LIABLE FOR ANY: INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, CUSTOMERS, DATA, OR GOODWILL; COST OF SUBSTITUTE GOODS OR SERVICES; OR BUSINESS INTERRUPTION, EVEN IF Rezi HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED ITS ESSENTIAL PURPOSE.
THESE LIMITATIONS APPLY TO ALL CLAIMS IN AGGREGATE, NOT PER INCIDENT. Rezi'S LIABILITY ARISING FROM ANY SINGLE INCIDENT SHALL NOT EXCEED THE TOTAL LIABILITY CAP SET FORTH ABOVE.
Rezi shall not be liable for: (a) unauthorized access to or alteration of your transmissions or data; (b) statements or conduct of any third party; (c) failure of third-party services including Telnyx, Retell, Stripe, or Anthropic; (d) errors or omissions in AI-generated content; or (e) any damage resulting from your failure to maintain secure credentials.
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you in full.
20. Indemnification
You agree to indemnify, defend (with counsel acceptable to Rezi), and hold harmless Rezi and its officers, directors, employees, agents, licensors, and successors from and against any and all third-party claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service or violation of these Terms.
- Your violation of any applicable law, including the Fair Housing Act, TCPA, ADA, or state landlord-tenant laws.
- Any claim by a tenant, guest, or prospect arising from AI-generated communications sent on your behalf, including claims of discrimination, harassment, misrepresentation, or injury resulting from incorrect AI responses.
- Your failure to obtain required consents from tenants or guests before sending automated communications.
- Your qualification questions, screening criteria, or any determination you make based on AI-assisted lead scoring.
- Any misuse of Rezi-provisioned phone numbers or email sending infrastructure.
- Your breach of confidentiality obligations.
- Any claim that your Customer Data or your use of the Service infringes the intellectual property rights of a third party.
Rezi reserves the right to assume exclusive control of any matter subject to indemnification by you, in which case you agree to cooperate with Rezi's defense.
21. Termination
Termination by You
You may cancel your account at any time by contacting hello@rezi-ai.com. Individual buildings can be deactivated from your dashboard at any time. No refunds are issued for unused periods, except where prohibited by applicable law.
Termination or Suspension by Rezi
Rezi may immediately suspend or terminate your account, with or without notice depending on severity, if:
- You violate any provision of these Terms, including the acceptable use, fair housing, or TCPA provisions.
- We receive credible complaints of discriminatory, harassing, or unlawful use of the platform against tenants or prospects.
- Your account is associated with fraudulent activity or non-payment.
- We are required to do so by law, court order, or regulatory authority.
- Your use poses a security threat to the platform, our infrastructure, or other customers.
- You are the subject of bankruptcy, insolvency, or similar proceedings.
Effect of Termination
Upon termination: (a) all your licenses to use the Service immediately end; (b) Rezi will disable access to your account; (c) Customer Data will be retained for 30 days following termination to allow for export, after which it will be permanently deleted; and (d) any outstanding fees become immediately due.
Sections 7, 8, 11, 12, 13, 14, 15, 17, 18, 19, 20, 23, 24, and 25 of these Terms survive termination.
22. Force Majeure
Neither party shall be in breach of these Terms or liable for any delay or failure to perform its obligations to the extent that such delay or failure results from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, pandemics, government actions, power failures, internet outages, or failure of third-party infrastructure (including Telnyx, Retell AI, Supabase, Stripe, or Vercel outages).
A party affected by a force majeure event must: (a) promptly notify the other party; (b) use commercially reasonable efforts to mitigate the impact; and (c) resume performance as soon as practicable. If a force majeure event continues for more than 30 consecutive days, either party may terminate the affected subscription without penalty by providing written notice.
23. Dispute Resolution and Arbitration
Informal Resolution First
Before initiating arbitration, you and Rezi agree to attempt to resolve any dispute informally. You must send a written notice of dispute to hello@rezi-ai.com describing the nature and basis of the claim and the relief sought. Rezi will send a similar notice to your account email if Rezi initiates a dispute. The parties will attempt to resolve the dispute within 30 days of the notice being received.
Binding Arbitration
If the dispute is not resolved within 30 days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except as modified herein. Arbitration will be conducted by a single arbitrator. The arbitration will be conducted in English. The arbitrator's award shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
The parties shall share equally in AAA filing and arbitrator fees, except that Rezi will pay all AAA fees for claims where you seek less than $10,000, provided the claim is not found to be frivolous. Each party bears its own attorneys' fees except where the arbitrator awards fees to the prevailing party for frivolous claims.
Opt-Out Right
You may opt out of the arbitration requirement within 30 days of first agreeing to these Terms by sending written notice to hello@rezi-ai.comwith the subject line "Arbitration Opt-Out." Opting out does not affect any other part of these Terms.
Class Action Waiver
ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND UNENFORCEABLE, THE ARBITRATION AGREEMENT SHALL BE VOID IN ITS ENTIRETY.
Jury Trial Waiver
TO THE EXTENT PERMITTED BY LAW, BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY ACTION OR LITIGATION ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE.
Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration, and either party may pursue small claims court actions within applicable jurisdictional limits.
24. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. To the extent court proceedings are permitted under Section 23, you consent to the exclusive jurisdiction of the federal and state courts located in Delaware.
25. General Provisions
Entire Agreement
These Terms, together with the Privacy Policy and any written agreements or order forms signed by both parties, constitute the entire agreement between you and Rezi regarding the Service and supersede all prior and contemporaneous agreements, representations, and understandings. In the event of a conflict between these Terms and a separately executed written agreement, the written agreement controls.
Severability
If any provision of these Terms is found invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and all other provisions shall remain in full force and effect.
Waiver
Rezi's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. A waiver of any breach shall not be a waiver of any subsequent breach or of the underlying obligation.
Assignment
You may not assign, transfer, or sublicense your rights or obligations under these Terms without Rezi's prior written consent. Rezi may assign or transfer these Terms without restriction in connection with a merger, acquisition, sale of assets, or change of control. Any purported assignment in violation of this section is void.
Notices
Legal notices to Rezi must be sent by email to hello@rezi-ai.comwith "Legal Notice" in the subject line, and shall be deemed delivered upon confirmation of receipt. Rezi may send notices to you at the email address associated with your account, which shall be deemed delivered 24 hours after sending.
No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights. Tenants and guests are not parties to these Terms and have no rights to enforce them against Rezi.
Export Control
You may not use or export the Service in violation of U.S. export laws and regulations, including the Export Administration Regulations (EAR) and OFAC sanctions. By using the Service, you represent that you are not located in a sanctioned country and are not on any U.S. government prohibited persons list.
Updates to These Terms
Rezi reserves the right to update these Terms at any time. When we make material changes, we will notify you by email at least 14 days before the changes take effect and update the "Last updated" date. Your continued use of the Service after the effective date of the update constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service.
